Terms of Service

These Terms of Service ("Terms") govern your access to and use of FreightBoard's transportation management platform, including freightboard.io, tms.freightboard.io, tracking links, and any related software or services (collectively, the "Service"). By signing up for or using the Service, you agree to these Terms.

1. Who we are

The Service is operated by FreightBoard ("we," "us," "our"). Contact: support@freightboard.io.

2. Accounts

You must be at least 18 years old and legally able to contract on behalf of your operation. You are responsible for keeping your credentials secure and for all activity on your account. Notify us immediately if you suspect a compromise.

3. Your use of the Service

You may use the Service only to manage your own legitimate freight operations. You agree not to:

  • reverse-engineer, decompile, or scrape the Service beyond what is allowed by applicable law;
  • use the Service to send unsolicited messages, spam, or phishing;
  • upload data you do not have the right to use (including data covered by third-party confidentiality);
  • circumvent access controls, rate limits, or billing;
  • interfere with other users' use of the Service.

4. Your data

You retain all rights to the data you submit to the Service ("Customer Data"). You grant us a worldwide, royalty-free license to host, copy, process, and transmit Customer Data solely to operate and improve the Service and to generate aggregated, anonymized analytics that do not identify you or your customers.

We provide one-click CSV and PostgreSQL exports so you can take your data at any time.

5. Confidentiality

We treat Customer Data as confidential. We will not share it with third parties except: (a) subprocessors we use to run the Service (hosting, error monitoring, email delivery); (b) as required by law; (c) with your explicit consent.

6. Third-party services

The Service integrates with third-party providers (Supabase, Vercel, Google Maps, FMCSA, ELD / telematics / accounting / factoring vendors). Your use of those integrations may be subject to their own terms.

7. Billing

Paid plans are billed monthly or as agreed in your order form. You authorize us to charge your payment method for all fees incurred. Fees are non-refundable except where required by law. We may change prices with at least 30 days' notice; continuing to use the Service after a price change constitutes acceptance.

8. Termination

You may cancel at any time from within the Service. We may suspend or terminate your account for material breach of these Terms, non-payment, or abuse. On termination you retain access to data exports for 30 days.

9. Availability

We aim for high uptime but the Service is provided "as is" without SLA except as expressly stated in a signed agreement. We are not liable for delays caused by third-party providers, acts of God, or network outages outside our control.

10. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-PROFITS DAMAGES.

12. Indemnification

You will defend and indemnify us against any claim arising from your Customer Data or your use of the Service in violation of these Terms.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Exclusive venue lies in the state or federal courts located in Delaware.

14. Changes

We may update these Terms from time to time. Material changes will be announced at least 14 days before they take effect.
